These Terms of Use ("Terms") constitute a legally binding agreement between you and Polaris & Co Realty LLC ("Polaris," "we," "us," or "our") and govern your access to and use of our website, forms, communications, digital tools, content, and related online services (collectively, the "Site").

Important Legal Notice: Polaris is a Massachusetts-licensed real estate brokerage. Real estate brokerage services, including but not limited to listing services, buyer representation, rental services, referral arrangements, comparative market analyses ("CMAs"), limited-service offerings, and other transaction-related services, may be subject to separate written agreements. If there is any conflict between these
Terms and a separately executed written agreement between you and Polaris, the separate written agreement will control with respect to the subject matter of that agreement.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.





Eligibility and Geographic Scope
 
The Site is intended only for individuals who are at least 18 years old and legally capable of entering into binding contracts.

Polaris is licensed to provide real estate brokerage services in Massachusetts. Unless expressly stated otherwise in writing, Polaris does not represent that it is licensed or authorized to provide brokerage services in any jurisdiction outside Massachusetts. Polaris may market its services to persons located outside Massachusetts, including individuals planning relocations to Boston and surrounding areas, but all brokerage services are limited to jurisdictions in which Polaris is properly licensed or otherwise legally permitted to act.

You are solely responsible for complying with all laws applicable to you in your jurisdiction when accessing or using the Site, including without limitation any laws relating to real estate, marketing, data privacy, and electronic communications.





Nature of the Site and No Automatic Brokerage Relationship
 
The Site is provided for informational, marketing, communication, and service-intake purposes only.
Your use of the Site, submission of a form, communication with Polaris, receipt of marketing materials, or request for information does not by itself create:
 

  • a broker-client relationship,

  • an agency relationship,

  • a fiduciary relationship,

  • a client relationship,

  • or any duty to represent you, unless and until Polaris and the applicable party enter into a separate written agreement where required by law or customary practice.
     

Polaris reserves the right, in its sole discretion and subject to applicable law, to decline to provide services to any person or matter.





Services and Business Model Disclosures
 
Polaris operates a highly virtual real estate brokerage model that may include, without limitation:
 

  • traditional brokerage services,

  • buyer and seller representation,

  • rental and relocation assistance,

  • relocation services for executive, academic, medical residency, student, and private clients,

  • limited-service and FSBO-related brokerage offerings,

  • CMAs and market guidance,

  • and referrals to licensed real estate professionals or other service providers where lawful and appropriate.
     

3.1 Referrals
 
Polaris may refer users, leads, or prospective clients to independent licensed real estate brokers, salespersons, or other service providers. Any referred person or entity is independent from Polaris unless expressly stated otherwise in writing.
 
Polaris does not guarantee and expressly disclaims any responsibility for the quality, availability, legality, suitability, performance, conduct, or results of any referred third party. 

You acknowledge that any relationship you enter into with a referred third party is solely between you and that third party unless otherwise expressly agreed in writing by Polaris.
 
3.2 RESPA and Referral-Fee Compliance
 
Polaris intends to comply with applicable federal and state law governing referrals and compensation, including the Real Estate Settlement Procedures Act ("RESPA") and Regulation X. No provision of these Terms shall be construed to authorize any payment, kickback, fee split, or thing of value prohibited by 12 U.S.C. 2607 or 12 CFR 1024.14.
 
To the extent any transaction involves settlement services subject to RESPA, Polaris does not agree to pay or accept compensation for the mere referral of settlement-service business except as expressly permitted by applicable law. Any compensation referenced in a separate agreement must be lawful, earned, and properly documented.
 
3.3 FSBO and Limited-Service Offerings
 
Where Polaris offers limited-service or FSBO-related services, the scope of those services is limited to the services expressly described in the applicable written agreement. Users remain solely responsible for decisions outside the agreed scope of service, including but not limited to pricing, negotiations, inspections, financing, legal review, tax matters, and transaction strategy unless Polaris expressly undertakes such responsibilities in writing.





User Accounts, Forms, and Communications
 
To access certain features, you may be asked to provide contact information or create an account. You agree to provide accurate, current, and complete information and to update it as necessary.
 
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
 
By submitting your contact information through the Site, you consent to receive communications from Polaris in accordance with our Privacy Policy and any applicable consent language presented at the point of collection.
 
If you believe your account or information has been used without authorization, you must notify Polaris promptly.

Polaris shares information only as reasonably necessary to provide its services, operate its business, and comply with applicable law.





Permitted Use of the Site
 
Subject to these Terms, Polaris grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful personal or internal business purposes related to evaluating, requesting, or receiving information about Polaris’s services.
 
You may not use the Site for any unlawful purpose or in any manner that could damage, disable, overburden, interfere with, or impair the Site or Polaris’s rights or operations.





Prohibited Conduct
 
You agree not to, and not to permit any third party to:
 

  • copy, reproduce, republish, upload, post, transmit, distribute, display, sell, license, or exploit any portion of the Site except as expressly permitted;

  • scrape, crawl, spider, index, harvest, monitor, or otherwise collect data or content from the Site by automated or manual means without Polaris’s prior written consent;

  • use any content, listing information, images, text, data, or materials from the Site to train, fine-tune, ground, evaluate, or otherwise support any machine learning, artificial intelligence, or similar model or dataset without Polaris’s prior written consent;

  • interfere with or attempt to circumvent the security, authentication, or proper functioning of the Site;

  • upload, transmit, or introduce malware, viruses, malicious code, bots, or harmful materials;

  • impersonate any person or entity or misrepresent your affiliation with Polaris or any other person or entity;

  • submit false, misleading, defamatory, infringing, unlawful, or harassing content;

  • use the Site in any way that violates any applicable law, regulation, MLS rule, intellectual property right, privacy right, or contractual obligation;

  • use the Site or Polaris content to create a competing database, service, brokerage workflow, referral system, lead-generation product, or derivative commercial offering.






MLS, Listing, and Property Information Disclosures
 
Certain property information made available through the Site may be obtained from MLS Property Information Network (MLS PIN), brokers, landlords, sellers, public records, or other third-party sources.
 
Such information is provided for general informational purposes only and:
 

  • may be incomplete, outdated, inaccurate, or unavailable,

  • may be subject to change without notice,

  • may be subject to MLS rules, copyright protections, and licensing restrictions,

  • and is not guaranteed by Polaris.
     

You may not copy, redistribute, republish, scrape, or commercially exploit any listing or MLS-related content except as expressly allowed by law and any applicable MLS rules or licenses.
Polaris reserves the right to remove, modify, or restrict access to listing content at any time.





CMAs, Market Content, and No Reliance
 
Any CMA, pricing analysis, market commentary, estimate, valuation range, neighborhood information, rental guidance, relocation guidance, or similar content made available through the Site is provided for general informational purposes only.
 
Such content:
 

  • is not an appraisal,

  • is not a guarantee of value, price, saleability, rental outcome, appreciation, investment return, or market performance,

  • may rely on third-party data that may be incomplete or inaccurate,

  • and should not be relied upon as the sole or primary basis for any financial, legal, tax, investment, housing, or relocation decision. 
     

You are solely responsible for obtaining independent professional advice where appropriate, including legal, tax, accounting, lending, inspection, valuation, immigration, or investment advice.





No Professional Advice
 
The Site and its content do not constitute legal, tax, accounting, financial, investment, immigration, medical, relocation, housing, or other professional advice.
 
Polaris is a real estate brokerage, not a law firm, tax advisory firm, financial advisory firm, appraisal company, mortgage lender, title company, immigration adviser, or property inspection company unless expressly stated in a separate written agreement.





Third-Party Services and External Resources
 
The Site may link to, integrate with, or reference third-party websites, vendors, platforms, agents, service providers, advertisers, or resources, including but not limited to CRM tools, form processors, scheduling tools, lenders, inspectors, title companies, movers, landlords, housing providers, and referral partners.
Polaris does not control and is not responsible for any third-party content, services, terms, privacy practices, representations, availability, or performance.
 
Your dealings with third parties are solely between you and the third party unless Polaris expressly agrees otherwise in writing.





User Submissions and User Content
 
Any information, text, images, files, comments, messages, feedback, search criteria, form responses, or other materials you submit through the Site (collectively, "User Content") must be lawful and accurate to the best of your knowledge.
 
By submitting User Content, you represent and warrant that:
 

  • you own it or have the right to provide it,

  • it does not violate any law or third-party right,

  • and it is not false, fraudulent, abusive, defamatory, obscene, infringing, or otherwise objectionable.
     

You grant Polaris a non-exclusive, worldwide, royalty-free license to use, store, reproduce, transmit, display, and process User Content as reasonably necessary to operate the Site, communicate with you, provide services, comply with law, and enforce these Terms, subject to the Privacy Policy.

Polaris may remove or decline to use any User Content at its discretion.





Intellectual Property Rights
 
The Site, including all text, design, logos, trademarks, service marks, trade names, graphics, icons, compilations, photographs, videos, software, forms, workflows, content, and other materials, is owned by Polaris or its licensors and is protected by applicable intellectual property laws.
 
Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Site or its content is transferred to you.
 
You may not use Polaris’s name, logos, marks, branding, or content without prior written consent.





Feedback
 
If you provide comments, suggestions, ideas, or feedback regarding the Site or Polaris’s services, Polaris may use such feedback without restriction or obligation to you, provided that personal information will be handled in accordance with the Privacy Policy.





Privacy Policy
 
Your use of the Site is also subject to Polaris’s Privacy Policy, which is incorporated into these Terms by reference.





Disclaimer of Warranties
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, TOOLS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
 
POLARIS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, QUIET ENJOYMENT, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
 
WITHOUT LIMITING THE FOREGOING, POLARIS DOES NOT WARRANT THAT:
 

  • THE SITE WILL BE AVAILABLE, SECURE, OR ERROR-FREE,

  • ANY CONTENT OR INFORMATION WILL BE CURRENT, ACCURATE, COMPLETE, OR RELIABLE,

  • ANY DEFECT WILL BE CORRECTED,

  • OR ANY RESULT OR OUTCOME WILL BE ACHIEVED.






Limitation of Liability
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLARIS AND ITS OWNERS, MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, ANY USER CONTENT, ANY THIRD-PARTY SERVICE, ANY REFERRAL, ANY CMA OR MARKET INFORMATION, OR YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLARIS’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100); OR (B) THE AMOUNT, IF ANY, PAID BY YOU DIRECTLY TO POLARIS SOLELY FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
 
Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law. This limitation applies even if any limited remedy fails of its essential purpose.





Indemnification
 
You agree to defend, indemnify, and hold harmless Polaris and its owners, managers, members, officers, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, proceedings, damages, judgments, awards, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
 

  • your use of the Site,

  • your violation of these Terms,

  • your User Content,

  • your violation of any law or third-party right,

  • your misuse of listings, MLS content, referral information, or communications,

  • or your negligence, fraud, misconduct, or unauthorized acts.






Termination and Suspension
 
Polaris may, at any time and without prior notice, suspend, restrict, or terminate your access to the Site if Polaris believes you have violated these Terms, applicable law, or any rights of Polaris or third parties, or if Polaris otherwise determines such action is necessary to protect the Site, its users, or Polaris’s business interests.
 
Termination does not waive or affect any rights or remedies accrued before termination.





Service Changes and Interruptions
 
Polaris may modify, suspend, discontinue, or restrict all or part of the Site at any time, with or without notice, and shall not be liable for any such modification, suspension, discontinuance, or restriction.

The Site may be unavailable from time to time due to maintenance, updates, outages, force majeure events, or causes beyond Polaris’s reasonable control.





Electronic Communications and Signatures
 
By using the Site, communicating with Polaris electronically, clicking acceptance boxes, submitting forms, or otherwise interacting with digital workflows, you consent to receive communications electronically and agree that such actions may constitute your electronic signature to the fullest extent permitted by law.





Dispute Resolution; Governing Law; Venue
 
These Terms and any dispute arising out of or relating to the Site, these Terms, Polaris’s online activities, or the parties’ relationship shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.




 
Informal Resolution
 
Before filing any formal claim, the parties agree to attempt in good faith to resolve the dispute informally. Any notice of dispute must be sent in writing to the contact information listed below and must describe the nature of the dispute and the relief requested.





Venue
 
Unless applicable law requires otherwise, any action or proceeding arising out of or relating to these Terms that is permitted to be brought in court shall be brought exclusively in the state or federal courts located in Massachusetts, and each party consents to personal jurisdiction and venue in those courts.




 
Arbitration; Class Action Waiver; Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any content, any referral, any services, or the relationship between you and Polaris (collectively, “Disputes”) shall be resolved exclusively by final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

Arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect, except as modified by this section. The arbitration shall be conducted before a single arbitrator and shall take place in the Commonwealth of Massachusetts, unless otherwise required by applicable law.

YOU AND POLARIS AGREE THAT:

- ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY  
- NO DISPUTE MAY BE BROUGHT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION  
- YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION  
- YOU AND POLARIS WAIVE ANY RIGHT TO A TRIAL BY JURY  

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or part of this provision is void or voidable.

Each party shall bear its own attorneys’ fees and costs, except as otherwise required by applicable law or awarded by the arbitrator.

This arbitration provision shall not prevent either party from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its rights, including without limitation intellectual property rights, confidential information, or enforcement of restrictions on use of the Site.

If any portion of this arbitration provision is found to be invalid or unenforceable, that portion shall be severed and the remaining provisions shall remain in full force and effect. However, if the class action waiver is found to be unenforceable, then this entire arbitration provision shall be null and void.

You agree that any arbitration must be commenced within the time limits set forth in these Terms, and that failure to do so shall permanently bar the claim.

BY USING THE SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS ARBITRATION AGREEMENT.




Time Limit to Bring Claims
 
To the fullest extent permitted by law, any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arises, or it is permanently barred, except to the extent a longer period is required by applicable law.





Accessibility

Changes to These Terms
 
Polaris may update these Terms from time to time by posting revised Terms on the Site and updating the Effective Date or Last Updated date.
 
Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.
 
 
 
 
 
General Provisions
 
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
 
No waiver by Polaris of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
 
You may not assign or transfer these Terms without Polaris’s prior written consent. Polaris may assign these Terms in connection with a merger, sale, reorganization, or transfer of assets.
 
These Terms, together with the Privacy Policy and any applicable separate written agreement, constitute the entire agreement between you and Polaris with respect to the Site.
 
Nothing in these Terms creates any joint venture, partnership, employment, franchise, or agency relationship between you and Polaris.
